Create a SeedLegals document, after `recommend_document` surfaced the template's `type` and `isEmployee`. Without `answers`, returns the questionnaire schema (`status: needs_input`); with `answers`, returns per-field errors (`status: invalid`) or creates the document and returns `documentId` + `documentUrl` (`status: created`). **NEVER fabricate values** — a create writes a real document and a fabricated `employee.email` creates a real user record; if you don't have a real value, ASK. Pass `employee` when `isEmployee: true`; pass `idempotencyKey` to make retries safe (a success is cached 24h, replays return the same result). create_document

Get the cap table for a company. This is the canonical source for ownership, dilution, voting control, share class, and SEIS/EIS scheme questions. The optional `view` selects the shape: BY_SHAREHOLDER (default) returns one row per shareholder; BY_SHARE_CLASS returns one segment per share class (with share-class attributes like liquidation multiplier) and investor rows inside; BY_SCHEME returns one row per investment scheme (SEIS/EIS/VCT/STANDARD) with counts and amounts. All percentage fields are 0-100 and computed against company-wide totals in every view. `event` is the latest event these figures reflect; the cap table is correct as of this event. `payout` is the modelled exit-waterfall amount at the company's latest approved valuation (liquidation preferences applied — NOT a pro-rata share of valuation); it is absent when no valuation can be derived. `pricePerShare` is the price that `event` set (null when it set none, e.g. a share transfer); `latestPricePerShare` is the share price from the company's latest valuation. A null `shareClassName` on a shareholder row means the investor holds multiple share classes, not that there is no class. If `individualHoldingsRestricted` is true, the caller is only permitted to see company totals (e.g. they are an option holder) — present the totals and explain that individual holdings aren't visible to them; do not say the company has no shareholders.

get_cap_table

Get the metadata and signing status of a SeedLegals document — what it is, when it was created and last modified, who created it, who the counterparty is, plus who has signed and when, who still needs to sign (and whether they currently have access to the doc), and the voting percentage signed for shareholder resolutions. Use when the user asks about a specific document: 'what's d_xxx', 'is this doc signed', 'who hasn't signed yet', 'has the resolution passed', 'who's the counterparty on this doc', or 'has this been sent to the people who need to sign it'. For voting-strategy documents, `signedVotingPercentage` against the resolution's threshold is the real measure of whether a vote has passed; `fullySigned` is a strict 'every named signatory has signed' flag that may still be false for a passing vote.

get_document_metadata

Get everything outstanding for a company that the user should act on, in three groups: (1) unsigned or partially-signed documents — each with `youNeedToSign` flagging whether the calling user can still sign it themselves (vs waiting on someone else); (2) upcoming deadlines from the company's calendar (e.g. EMI annual return, EMI notification, option-pool expiry, loan maturity, share-allotment return); and (3) in-progress events the user started but hasn't approved yet — every event type (rounds, share transfers, stock splits, option pools/grants, SeedFAST/SAFE/BSA Air, instant investments, share redesignations, …), each with a human-readable `displayName`. Use when the user asks 'what's outstanding', 'what do I need to do', 'what's unfinished', 'what needs signing', or 'what deadlines are coming up' for a company. get_outstanding_actions

List documents for a company — id, label, type, the counterparty user or company on the document, and whether it's fully signed. Sorted most recently modified first. Returns every document the caller can access in the company in a single response (no pagination).

list_documents

List all companies the authenticated user has access to, along with their roles in each. Use when the user asks which companies they belong to.

list_user_companies

Read the plain text of one SeedLegals document by ID. Long documents are paginated: when the response has a non-null `nextOffset`, call again with `offset` = `nextOffset` to read the rest — a null `nextOffset` means the whole document has been read. Don't conclude the document doesn't mention something until every page is read. An `accessLevel` other than `GRANTED` means the text is a watermarked preview, not the complete document — tell the user full access needs the relevant plan/product, and never present preview text as the final agreement. `extractable=false` means no readable text (e.g. a scanned PDF) — say the contents couldn't be read rather than guessing.

query_document

List SeedLegals document templates a user can create for a company, filtered to the company's jurisdiction. Each recommendation carries `type`, `label`, `description`, `questionCount`, `isEmployee`, and `agreementsListUrl`. The server does not rank — pick the best fit by matching `description` to the user's request. Note `isEmployee`: when `true`, the chosen template requires an individual counterparty, so you'll need to gather and pass `employee` to `create_document`. recommend_document

Submit feedback to SeedLegals about an MCP request you could not fulfil. See the server instructions for when to call, the consent flow you must follow with the user before invoking, tone guidance, and category triage.

submit_feedback

Email a signature reminder about a SeedLegals document to the specified `userIds` and/or `companyIds`. Each call sends emails to every recipient. Confirm with the user before invoking. At least one of `userIds` or `companyIds` must be non-empty. Only pass recipients who already have access to the document. The tool does NOT verify access and will email a reminder to anyone you supply — including people who can't open the document.
