Terms of Service

The terms that govern use of agentdiscoverability.com and the Agent Discoverability platform, operated by Ghost Team LLC.

1. Agreement to these terms

These Terms of Service (the "Terms") are a binding agreement between you and Ghost Team LLC ("Ghost Team", "we", "us"), a limited liability company organized under the laws of the State of Delaware, United States. They govern your use of agentdiscoverability.com, the Agent Discoverability platform, and any related APIs, reports, and documentation (together, the "Service").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" means that organization. If you do not agree, do not use the Service.

If you and Ghost Team have signed a separate written agreement covering the Service, that agreement controls where it conflicts with these Terms.

2. The Service

The Service measures how AI agents discover, select, and invoke products across platforms such as ChatGPT, Claude, Gemini, and other AI clients, and reports the results to you. We may add, change, or remove features over time. We will not materially reduce the core functionality of a paid plan during a term you have already paid for without offering you a pro-rated refund.

Scores, rankings, and other analytics are estimates derived from observed agent behaviour at a point in time. They are provided for informational purposes and are not a guarantee of any commercial outcome.

3. Account terms

  • You must be at least 18 years old and able to form a binding contract.
  • You must provide accurate account information and keep it current.
  • You are responsible for all activity under your account and for keeping credentials confidential.
  • You must notify us promptly at vincent@ghostteam.ai if you suspect unauthorised access.
  • One person or organization may not maintain more than one free account, and accounts may not be shared or resold.
  • An organization's administrators control who may join it and what each member can see.

4. Acceptable use

You agree not to, and not to permit anyone else to:

  • Use the Service in violation of any applicable law or regulation.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service, except where that restriction is unenforceable by law.
  • Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, other than through a security disclosure you send to us.
  • Access the Service to build a competing product, or to benchmark it for publication, without our prior written consent.
  • Scrape, crawl, or bulk-export the Service beyond the documented API and your plan's limits.
  • Interfere with or disrupt the Service, or impose an unreasonable load on our infrastructure.
  • Upload malware, or content that is unlawful, infringing, defamatory, or harmful.
  • Misrepresent your identity or affiliation, or use the Service to impersonate a brand you do not represent.
  • Resell, sublicense, or make the Service available to a third party except as expressly permitted.

We may suspend access without notice if we reasonably believe use of the Service threatens the security, integrity, or availability of the Service or of a third party.

5. Subscription and payment terms

Paid plans are sold as recurring subscriptions billed in advance, monthly or annually, at the prices shown at purchase. Fees are stated and payable in U.S. dollars.

  • Automatic renewal. Subscriptions renew automatically for successive terms of the same length until cancelled.
  • Cancellation. You may cancel at any time from your billing settings, or by emailing vincent@ghostteam.ai. Cancellation takes effect at the end of the current billing period; you keep access until then.
  • Refunds. Fees are non-refundable except where required by law or expressly stated in these Terms. We do not refund partial periods.
  • Price changes. We may change prices for a renewal term with at least 30 days' notice before the renewal date. Continuing after the change takes effect is acceptance of the new price.
  • Taxes. Prices exclude sales, use, VAT, GST, and similar taxes, which you are responsible for unless you provide a valid exemption certificate.
  • Late or failed payment. If a payment fails, we may retry it, and we may suspend or downgrade access to paid features until the balance is settled.

Payments are processed by a third-party payment processor. We do not store full payment card numbers. Your use of the processor is also subject to its own terms.

6. Intellectual property

The Service, including its software, design, documentation, methodology, scoring models, and all related intellectual property, is owned by Ghost Team and its licensors and is protected by intellectual property law. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

Nothing in these Terms transfers ownership of the Service to you. All rights not expressly granted are reserved. Our names, logos, and product names are our trademarks; you may not use them without our written permission, except to accurately reference the Service.

You may use reports and analytics we produce for you internally, and may quote them externally with attribution to agentdiscoverability.com, provided you do not misrepresent them.

7. Your content and feedback

You retain all rights in the content and data you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content solely to operate and improve the Service and to provide support. You represent that you have the rights necessary to grant that licence.

If you send us feedback, suggestions, or feature ideas, you grant us an unrestricted, perpetual, irrevocable right to use them without obligation or compensation to you.

We may use aggregated, de-identified data derived from use of the Service — data that does not identify you, your organization, or any individual — to operate, benchmark, and improve the Service.

9. Third-party services

The Service observes and reports on third-party AI platforms, directories, and other services that we do not control. We are not responsible for those services, their availability, their terms, or any change they make that affects your results. Links from the Service to third-party sites are provided for convenience and are not an endorsement.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, GHOST TEAM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that results, scores, or rankings will be accurate or complete, or that the Service will produce any particular commercial outcome. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GHOST TEAM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limits do not apply to liability that cannot be limited by law, and they apply regardless of the theory of liability. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless Ghost Team and its officers, members, employees, and agents from and against any third-party claim, and any resulting loss, liability, damage, cost, or expense (including reasonable legal fees), arising out of Your Content, your use of the Service, or your breach of these Terms or of applicable law. We will notify you of the claim, give you control of the defence, and cooperate at your expense.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within 15 days of notice, if your payment is overdue, if required by law, or if we discontinue the Service.

On termination, your licence to use the Service ends and we may delete your data in line with the retention periods in our Privacy Policy. You may export your data before termination takes effect, and we will provide a reasonable opportunity to do so unless termination is for a serious breach. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.

14. Changes to these terms

We may update these Terms as the Service and the law change. When we do, we revise the "last updated" date at the top of this page. For material changes we will give at least 30 days' notice by email or in the product before they take effect. Continuing to use the Service after that date is acceptance of the updated Terms; if you do not agree, stop using the Service and cancel your subscription.

15. Governing law and disputes

These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and each party consents to personal jurisdiction and venue there and waives any objection to it. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Before filing a claim, please email vincent@ghostteam.ai so we can try to resolve it informally.

16. General

These Terms, together with our Privacy Policy and any order form, are the entire agreement between you and Ghost Team about the Service. If a provision is held unenforceable, the rest remains in effect and the unenforceable part is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. There are no third-party beneficiaries to these Terms.
